Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of getrowzero.org and the Row Zero warehouse-native spreadsheet service (the "Service") operated by Row Zero, Inc. ("the Company," "we," "us," or "our"), a company incorporated under the laws of the State of Washington, with registered offices at 1000 Second Avenue, Suite 1200, Seattle, WA 98104, United States. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Use of the Service
Row Zero provides a spreadsheet interface that queries data warehouses directly via pushdown SQL. When using the Service, you agree to the following:
- You must be at least 18 years old or have the consent of a parent or legal guardian to use the Service.
- You agree not to use the Service for unlawful purposes, to interfere with its operation, or to attempt to gain unauthorized access to systems or data.
- You may not scrape, reverse-engineer, decompile, or copy the Service except as expressly permitted by applicable law.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You are responsible for ensuring you have the right to connect the data warehouses you configure in the Service and that your use of those connections complies with your organization's policies and any applicable agreements with your warehouse provider.
3. Intellectual Property
The Service, including all software, design, text, graphics, and logos, is owned by Row Zero, Inc. or its licensors and is protected by United States and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose in accordance with these Terms. You receive no ownership interest in the Service.
4. Your Content and Warehouse Data
You are responsible for any content you submit through the Service, including connection parameters, configuration choices, formula definitions, and communications. You represent that you have all necessary rights to submit such content. You grant Row Zero, Inc. a limited license to use, store, and process this content as necessary to provide the Service, deliver support, and respond to your inquiries. Row Zero does not claim any ownership over your warehouse data. As described in our Privacy Policy, warehouse data is never copied to Row Zero infrastructure; it remains in your warehouse at all times.
5. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROW ZERO, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROW ZERO, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID TO ROW ZERO, INC. IN THE THREE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain types of damages; in those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.
7. Indemnification
You agree to defend, indemnify, and hold harmless Row Zero, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) any dispute between you and a third party related to your use of the Service.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Company, or third parties, or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will continue to apply, including Sections 3, 5, 6, 7, 9, and 10.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.
Informal Resolution. Before filing any formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days. Most concerns can be resolved this way.
Arbitration. Any dispute that cannot be resolved informally will be settled by binding arbitration administered in Washington, USA under the rules of the American Arbitration Association ("AAA"). The arbitration will be conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction. You and Row Zero, Inc. each waive the right to a jury trial and the right to participate in any class action or representative proceeding.
Exception. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Washington, USA for claims involving intellectual-property infringement or unauthorized access to the Service, without first pursuing arbitration.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with a new effective date at getrowzero.org/legal/terms.html. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
